Terms and Conditions (AGB)

1. Scope

These General Terms and Conditions (hereinafter “Terms”) apply to all services and products provided by Graham Miranda UG (haftungsbeschraenkt) (hereinafter “Provider”), including:

Deviating conditions of the customer are not recognized unless the Provider has expressly agreed to their application in writing.

3. Subject Matter of Contracts

3.1 Search Engine Operation (asearchz.online)

Use of the search engine asearchz.online is free for end users, ad-free, and requires no registration. No contractual relationship is established between the end user and Graham Miranda UG.

3.2 Paid Services

For paid services (web hosting, web development, SEO, IT consulting, managed IT services, eSIM), separate agreements are concluded, with conditions specified in the respective individual contracts.


4. Service Provision and Availability

4.1 asearchz.online

Graham Miranda UG strives for high availability of the search engine but provides no guarantee of uninterrupted availability. Planned maintenance will be announced in advance when possible.

4.2 Hosting Services

Hosting services are governed by separate Service Level Agreements (SLA), if contractually agreed.


5. Prices and Payment Terms

5.1 Chargeable Services

For chargeable services, prices valid at the time of order placement apply, as specified in the respective individual agreement. All prices are exclusive of statutory value-added tax.

5.2 Invoicing

Unless otherwise agreed, invoices are payable within 14 days of invoice date without deduction.

5.3 Default in Payment

In case of default in payment, statutory provisions (Sections 286 et seq. BGB) apply. Reminder fees are charged at a flat rate of EUR 5.00 per reminder.


6. Liability

6.1 Provider Liability

Graham Miranda UG is liable without limitation for damages arising from intentional or grossly negligent breaches of duty.

In cases of slight negligence, Graham Miranda UG is liable only for breaches of material contractual obligations (cardinal obligations) whose fulfillment is essential for the proper execution of the contract and on whose compliance the customer may regularly rely. In such cases, liability is limited to the typically foreseeable damage.

6.2 Liability for Search Results

Graham Miranda UG accepts no liability for the search results of asearchz.online. Search results are dynamically generated by third-party search engines.

6.3 Liability Cap

Total liability of Graham Miranda UG in cases of slight negligence is limited to the annualized contract value, but in no event more than EUR 10,000.00.

6.4 Professional Liability Insurance

Graham Miranda UG is covered by professional liability insurance from Markel Versicherung SE (Policy ON.MPI.64092):

7. Termination and Duration

7.1 Ongoing Contracts (Chargeable Services)

Contracts for chargeable services have a minimum term and notice period as specified in the respective individual agreement. Without a separate agreement, the notice period is 30 days to the end of a calendar month.

7.2 Immediate Termination

The right to terminate for cause remains unaffected. Just cause exists in particular in cases of:

The provision of asearchz.online may be discontinued at any time without stating reasons. There is no entitlement to use.


8. Intellectual Property

8.1 Provider Property

All work results (source code, designs, documents, concepts) created by Graham Miranda UG remain the property of the Provider until full payment has been received.

8.2 Open Source Software

When using open-source software (e.g., SearXNG, AGPL-licensed), the respective open-source software license conditions remain unaffected.


9. Confidentiality

Both contracting parties commit to treating all confidential information obtained during the collaboration strictly confidentially and not disclosing it to third parties. This obligation continues beyond the termination of the contractual relationship.


10. Data Protection

Graham Miranda UG processes personal data exclusively in accordance with GDPR and BDSG provisions. Further information is available in the Privacy Policy at https://asearchz.online/info/en/datenschutz.


11. Export and Import Restrictions

The customer is responsible for ensuring compliance with all applicable export and import restrictions.


12. Applicable Law and Jurisdiction

12.1 Applicable Law

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict of laws provisions of private international law.

12.2 Jurisdiction

To the extent no other mandatory jurisdiction is prescribed by law, place of jurisdiction for all disputes arising from and in connection with these Terms and individual contracts is Blankenburg (Harz).

12.3 Severability

Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid one that comes closest to the economic purpose of the invalid provision.


13. Final Provisions

13.1 Amendments to Terms

Graham Miranda UG reserves the right to amend these Terms with reasonable notice. The amended conditions will be communicated to the customer in text form (email sufficient). If the customer does not object within 4 weeks of notification, the amended Terms are deemed accepted.

13.2 Written Form

Amendments and supplements to these Terms require written form. This also applies to the waiver of this written form requirement.

13.3 Entire Agreement

These Terms together with the respective individual agreement constitute the complete agreement between the parties and supersede all prior oral and written agreements.
